Ordius File Fingerprinting API Terms of Service

1. Acceptance of these Terms

These Ordius File Fingerprinting API Terms of Service ("Terms") govern access to and use of the Ordius File Fingerprinting API ("Service") provided by Ordius Technologies. By obtaining, accessing, or using an API Key, submitting requests to the Service, or otherwise interacting with the Service, the Customer agrees to be bound by these Terms.

If the Customer is using the Service on behalf of a company, organization, government entity, or other legal person, the individual accepting these Terms represents and warrants that they possess the authority to bind that entity to these Terms. In such cases, references to "Customer" include both the individual and the represented entity, as applicable.

If the Customer does not agree to these Terms, the Customer must not access or use the Service.

These Terms operate together with the Ordius Privacy Policy and Ordius Refund Policy, each of which forms part of the contractual relationship between the Customer and Ordius Technologies. Where a specific subject is governed by one of those policies, the applicable policy shall apply in addition to these Terms.

2. Service Description

The Ordius File Fingerprinting API is a hosted REST API that generates deterministic SHA-256 fingerprints and stable Ordius IDs from uploaded binary files.

For any identical binary input, the Service will always produce the same SHA-256 fingerprint and the same Ordius ID. This deterministic behavior allows developers, businesses, compliance teams, legal professionals, and enterprise systems to consistently identify, compare, verify, and reference digital files across independent systems and over time.

The Service performs cryptographic fingerprint generation only. It does not modify uploaded files, provide document storage, certify legal ownership, establish authorship, notarize documents, replace digital signature systems, or determine the authenticity or legality of uploaded content. Customers remain solely responsible for how generated fingerprints and Ordius IDs are interpreted and used within their own business, legal, operational, or regulatory workflows.

The Ordius API is provided as infrastructure for deterministic digital identification and file integrity verification. All uploaded content remains the property and responsibility of the Customer.

3. Eligibility

The Ordius File Fingerprinting API is intended for use by individuals, businesses, organizations, government entities, and other legal persons that are legally permitted to enter into binding agreements under the laws applicable to them.

By using the Service, the Customer represents and warrants that they possess the legal capacity and authority to accept these Terms and to use the Service in accordance with all applicable laws, regulations, and contractual obligations.

Where the Service is accessed on behalf of an organization, the individual using the Service represents that they are authorized to act on behalf of that organization with respect to the use of the Service and the acceptance of these Terms.

The Service is not intended for use by persons or entities prohibited from receiving or using such services under applicable law.

4. API Keys

Access to the Ordius File Fingerprinting API is authenticated through API Keys issued by Ordius Technologies. Each API Key uniquely identifies a Customer and is associated with that Customer's available API Credits, usage history, and authorized access to the Service.

Customers are solely responsible for maintaining the confidentiality and security of their API Keys. API Keys should be treated as confidential credentials and must not be publicly disclosed, embedded in publicly accessible source code, distributed to unauthorized persons, or exposed through insecure systems.

All requests submitted using a valid API Key are deemed to have been authorized by the Customer to whom that API Key was issued. Customers accept responsibility for all activity performed using their API Keys, whether such activity is initiated directly by the Customer or by applications, systems, employees, contractors, or other authorized representatives acting on the Customer's behalf.

The Ordius File Fingerprinting API recognizes a valid API Key as the sole credential required to authenticate requests to the Service. Requests submitted using a valid API Key are presumed to have been made with the express authorization, knowledge, and intention of the Customer to whom that API Key was issued.

Customers acknowledge that the Service relies exclusively upon the validity of an API Key to determine authorization for API requests. Accordingly, Customers agree to exercise reasonable care and due diligence in safeguarding their API Keys against unauthorized, accidental, or unintended disclosure, access, or use.

Ordius Technologies shall not be responsible for requests, API Credit consumption, or other actions performed using a valid API Key where such requests were made by persons or systems in possession of that API Key, regardless of whether such possession was authorized by the Customer.

Customers remain solely responsible for the secure storage, handling, distribution, and operational management of their API Keys throughout their lifecycle.

5. API Credits

Access to the Ordius File Fingerprinting API is provided through a prepaid API Credit system. Each successful fingerprint request consumes the number of API Credits associated with that operation. The applicable credit consumption for each endpoint is published within the official API documentation and may be updated as the Service evolves.

API Credits are purchased in advance and are associated with a specific API Key. Unless otherwise stated in a separate written agreement, API Credits are non-transferable between API Keys, organizations, or customers.

Customers may review their remaining API Credit balance through the appropriate API endpoints provided by the Service. It is the Customer's responsibility to monitor available credits and ensure sufficient balance exists before submitting requests.

When an API Key no longer has sufficient credits to process a request, the Service may reject additional requests until additional API Credits have been purchased or otherwise made available to that API Key.

Purchased API Credits represent prepaid access to the Service and do not constitute a bank account, stored monetary value, financial instrument, or transferable asset. API Credits have no cash value except where required by applicable law.

Refunds, billing adjustments, and payment-related matters are governed by the Ordius Refund Policy and any applicable payment processor terms. Purchases are processed through authorized payment providers, including Paddle, where applicable.

6. Uploaded Files

Customers may upload digital files to the Ordius File Fingerprinting API solely for the purpose of generating deterministic SHA-256 fingerprints and stable Ordius IDs. Uploaded files are processed only to compute these deterministic outputs and are not used for any unrelated purpose.

Ordius Technologies does not claim ownership of, acquire rights to, or exercise control over any files submitted through the Service. Customers retain full ownership of, and responsibility for, all uploaded content, including any intellectual property rights associated with such files.

Except where temporary technical processing is required to complete a request, uploaded files are not retained as part of the Service. Ordius Technologies does not maintain a permanent repository of customer files, does not perform content indexing, and does not use uploaded files for advertising, profiling, machine learning model training, or commercial data exploitation.

Customers are solely responsible for ensuring they possess all necessary rights, permissions, and legal authority to upload and process any file submitted through the Service. Customers must not upload content that violates applicable law, infringes intellectual property rights, or contains material they are not authorized to process.

Where applicable, enterprise customers remain responsible for complying with all contractual, regulatory, privacy, security, and data retention requirements governing the files they choose to process through the Service.

7. Deterministic Fingerprinting

The Ordius File Fingerprinting API performs deterministic cryptographic fingerprinting using the SHA-256 hashing algorithm. For any identical binary file, regardless of filename, storage location, or upload time, the Service will always produce the same SHA-256 fingerprint and the same Ordius ID.

An Ordius ID is a stable identifier derived from the underlying file contents through deterministic processing. It is intended to provide a consistent digital reference that can be used for file integrity verification, document comparison, duplicate detection, audit workflows, compliance processes, digital evidence management, and other operational or enterprise use cases.

The Service identifies digital file contents only. A generated fingerprint or Ordius ID does not establish ownership, authorship, copyright, licensing rights, originality, legal title, chain of custody, regulatory compliance, admissibility as evidence, or the authenticity of the underlying document.

Customers remain solely responsible for determining the legal, regulatory, contractual, and operational significance of any fingerprint or Ordius ID generated by the Service. Ordius Technologies makes no representation that a fingerprint or Ordius ID constitutes legal proof of ownership or replaces any notarization, digital signature, certification, or identity verification process.

The Service is designed to provide deterministic digital identification of binary content. Any interpretation or reliance placed upon generated fingerprints or Ordius IDs beyond their function as deterministic file identifiers is the sole responsibility of the Customer.

8. Acceptable Use

Customers agree to use the Ordius File Fingerprinting API only for lawful purposes and in accordance with these Terms. Customers are solely responsible for all activity performed using their API Keys, including requests submitted by their applications, employees, contractors, or authorized systems.

Customers shall not use the Service to process, transmit, facilitate, or support activities that violate applicable law or infringe the rights of others. This includes, but is not limited to, unauthorized processing of copyrighted materials, unlawful surveillance, fraud, identity theft, malware distribution, or other unlawful or harmful activities.

Customers shall not attempt to interfere with the security, availability, integrity, or normal operation of the Service. Prohibited activities include excessive automated requests intended to disrupt the Service, attempts to bypass authentication or usage controls, unauthorized security testing, reverse engineering of proprietary components, or any activity intended to degrade the experience of other customers.

Customers shall not share, publish, resell, sublicense, or otherwise make their API Keys available to unauthorized third parties unless expressly permitted under a separate written agreement with Ordius Technologies.

Ordius Technologies reserves the right to investigate suspected misuse of the Service and may temporarily suspend or permanently revoke API Keys that are reasonably believed to be associated with abuse, unlawful activity, fraudulent behavior, security threats, or material violations of these Terms.

Enforcement actions are intended to protect the reliability, security, and integrity of the Ordius platform for all customers and shall not be interpreted as a waiver of any other legal or contractual remedies available to Ordius Technologies.

9. Enterprise Usage

The Ordius File Fingerprinting API may be used by businesses, corporations, government entities, educational institutions, non-profit organizations, and other enterprise customers as part of their internal or commercial digital workflows.

Enterprise customers remain solely responsible for ensuring that their use of the Service complies with all applicable laws, regulations, industry standards, contractual obligations, internal governance requirements, and organizational security policies applicable to their operations.

The Service provides deterministic cryptographic file fingerprinting only. Enterprise customers remain responsible for designing, implementing, and maintaining their own document management, recordkeeping, retention, access control, audit, compliance, legal, and operational procedures surrounding the use of generated SHA-256 fingerprints and Ordius IDs.

Unless expressly agreed in a separate written agreement, use of the Service does not create an exclusive relationship, managed service, agency relationship, partnership, joint venture, or fiduciary duty between Ordius Technologies and any Customer.

Enterprise-specific commercial terms, volume licensing, custom integrations, service commitments, or support arrangements shall be governed exclusively by a separate written agreement executed between Ordius Technologies and the applicable enterprise customer.

10. Service Availability

Ordius Technologies operates the Ordius File Fingerprinting API using commercially reasonable efforts to provide a reliable and continuously available hosted service. However, the Service is provided on an "as available" and "as is" basis and uninterrupted availability is not guaranteed.

The Service may become temporarily unavailable due to scheduled maintenance, infrastructure upgrades, software deployments, security measures, third-party service interruptions, Internet connectivity issues, force majeure events, or circumstances beyond the reasonable control of Ordius Technologies.

Customers are responsible for designing their applications and systems to tolerate temporary service interruptions, including implementing appropriate retry mechanisms, timeout handling, error recovery, and operational safeguards where continuous availability is required.

Ordius Technologies may modify, improve, maintain, suspend, or discontinue portions of the Service when reasonably necessary to protect the reliability, integrity, security, or long-term operation of the platform.

Except where expressly agreed under a separate written enterprise agreement, Ordius Technologies does not provide service level agreements (SLAs), guaranteed response times, guaranteed uptime percentages, or financial credits arising from temporary service interruptions.

11. Intellectual Property

Except for Customer Content, the Service, including the Ordius File Fingerprinting API, Ordius IDs, API specifications, documentation, software, source code, object code, algorithms, designs, trademarks, logos, service marks, branding, website content, and all related materials are the exclusive intellectual property of Ordius Technologies or its licensors and are protected by applicable intellectual property laws.

Customers retain all ownership, intellectual property rights, and other legal interests in the files, documents, and other content they submit to the Service ("Customer Content"). Submission of Customer Content to the Service does not transfer ownership of such content to Ordius Technologies.

By submitting Customer Content, the Customer grants Ordius Technologies a limited, non-exclusive, non-transferable, royalty-free license solely to the extent necessary to receive, temporarily process, fingerprint, and return the deterministic outputs generated by the Service. This limited license automatically terminates once processing has been completed, except where temporary technical retention is required for the normal operation, security, or reliability of the Service.

Nothing in these Terms grants the Customer any ownership interest in, or right to reproduce, modify, distribute, sublicense, reverse engineer, commercially exploit, or create derivative works from the Service except as expressly permitted under applicable law or a separate written agreement with Ordius Technologies.

"Ordius", the Ordius name, logos, product names, branding, and all associated identifiers are trademarks or proprietary marks of Ordius Technologies and may not be used without prior written permission.

12. Privacy

Ordius Technologies is committed to protecting the privacy and confidentiality of information processed through the Ordius File Fingerprinting API. The collection, processing, use, disclosure, retention, and protection of personal information are governed by the Ordius Privacy Policy, which forms an integral part of these Terms.

By accessing or using the Service, the Customer acknowledges that they have read and understood the Ordius Privacy Policy and consent to the processing of information as described therein, where such consent is required under applicable law.

The Privacy Policy explains, among other matters, the categories of information processed by the Service, the purposes for which such information is processed, the Customer's rights regarding personal data, applicable retention practices, and the security measures employed by Ordius Technologies.

Customers remain responsible for ensuring that their own use of the Service complies with all applicable privacy, data protection, and confidentiality laws, regulations, contractual obligations, and internal organizational policies applicable to the information they choose to process through the Service.

In the event of any inconsistency between these Terms and the Ordius Privacy Policy with respect to privacy or data processing matters, the Ordius Privacy Policy shall govern.

13. Refunds

Purchases of API Credits and other paid Services offered by Ordius Technologies are subject to the Ordius Refund Policy, which forms part of these Terms by reference.

The Refund Policy describes the circumstances under which refunds, billing adjustments, or payment reversals may be available, together with any applicable conditions, limitations, or exclusions.

Where payments are processed through an authorized payment provider, including Paddle, the processing of refunds may also be subject to the terms, procedures, and operational requirements of the applicable payment provider.

In the event of any inconsistency between these Terms and the Ordius Refund Policy regarding refund eligibility or refund procedures, the Ordius Refund Policy shall govern.

14. Limitation of Liability

The Ordius File Fingerprinting API is provided on an "as is" and "as available" basis. While Ordius Technologies employs commercially reasonable efforts to provide a reliable and secure Service, no warranty, representation, or guarantee is made that the Service will be uninterrupted, error-free, or suitable for every Customer's particular purpose.

To the maximum extent permitted by applicable law, Ordius Technologies shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of, inability to use, or reliance upon the Service, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, business interruption, or loss of goodwill.

Ordius Technologies shall not be responsible for any decisions, conclusions, legal interpretations, regulatory actions, contractual disputes, or business outcomes arising from the Customer's use, interpretation, or reliance upon any SHA-256 fingerprint or Ordius ID generated by the Service.

Customers acknowledge that the Service provides deterministic cryptographic identification of digital file contents only and is not a substitute for legal advice, digital signature systems, notarization, chain-of-custody procedures, evidentiary certification, or any other process intended to establish ownership, authenticity, or legal rights.

In all cases, the aggregate liability of Ordius Technologies arising from or relating to the Service shall not exceed the total amount paid by the Customer for API Credits during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited under applicable law.

15. Suspension or Termination of Access

Ordius Technologies reserves the right to suspend, restrict, or terminate access to the Service, including the use of any API Key, where such action is reasonably necessary to protect the security, reliability, integrity, or lawful operation of the Ordius platform.

Suspension or termination may occur in circumstances including, but not limited to, material violations of these Terms, fraudulent activity, abusive or excessive API usage, unlawful use of the Service, attempts to circumvent security controls, actions that threaten platform stability, or activities that may expose Ordius Technologies or its customers to legal, operational, or security risks.

Where reasonably practicable, access restrictions will be limited to the specific API Key or Customer associated with the identified activity. However, Ordius Technologies reserves the right to take broader protective measures when necessary to preserve the continued operation of the Service.

Suspension or termination of access does not relieve the Customer of any outstanding obligations arising before such suspension or termination, including payment obligations or liabilities resulting from prior use of the Service.

Nothing in this section limits any other legal, contractual, or equitable rights available to Ordius Technologies under these Terms or applicable law.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

The Customer agrees that any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Ordius File Fingerprinting API shall be subject to the exclusive jurisdiction of the competent courts of the Republic of the Philippines, unless otherwise required by applicable law.

Before initiating formal legal proceedings, the parties agree to make reasonable good-faith efforts to resolve any dispute through direct communication.

Nothing in these Terms prevents Ordius Technologies from seeking appropriate legal or equitable remedies in any jurisdiction where such action is reasonably necessary to protect its intellectual property, confidential information, security interests, or other lawful rights.

17. Changes to these Terms

Ordius Technologies may update or modify these Terms from time to time to reflect changes in the Service, applicable law, security requirements, operational practices, business operations, or other legitimate business needs.

The most current version of these Terms will always be published on the official Ordius website. The effective date displayed at the beginning of these Terms indicates when the current version became effective.

Material changes that significantly affect Customer rights or obligations may be communicated through the official website, API documentation, or other reasonable communication channels before such changes become effective, where reasonably practicable.

Continued use of the Service after revised Terms become effective constitutes acceptance of those revised Terms. If a Customer does not agree to the updated Terms, the Customer must discontinue use of the Service.

Previous versions of these Terms may be retained by Ordius Technologies for historical, legal, regulatory, or operational reference.
